The only terms which are binding upon the Seller are: (a) those set out in these terms or otherwise consented to in writing by the Seller; and (b) those, if any, which are enforced by law and which can not be omitted.
If: (a) the Buyer accepts the Seller's Quotation (where the Quotation remains in composing, by performing it); or (b) the Seller accepts the Purchaser's Order, an agreement is produced between the parties whereby the Seller offers to the Buyer the Goods on these terms and conditions. 5. After creation of the agreement the order for the Product can just be cancelled by the Buyer if the Seller grant the cancellation and the Purchaser reimburses the Seller for all expenses associated with the work undertaken in relation to the agreement and likewise pays the Seller a quantity equivalent to the revenues which the Seller would have attained had the agreement been completed.
6. If the Seller, at any time including after development of the agreement, considers the credit of the Purchaser unsatisfactory the Seller might: (a) require security for payment of the Purchase Price. (b) Withhold delivery until such security is gotten, and/or (c) cancel the agreement. 7 (Personal Trainer in Pearsall ). 13. 14. If the Purchaser needs unique packaging in relation to the Product it should be consented to in writing between the Buyer and the Seller, and the cost of the same is to the Buyer's account and accordingly will be included in the Purchase Price. If the Seller stops working to include the expense of unique packaging in the Purchase Rate the Buyer must pay to the Seller such expenses as needed.
Where setup is consisted of in the contract the provision of a clear working site and adequate access will be the responsibility of the buyer. It is our normal practice to alert delivery beforehand in order to facilitate the clearance of our workspace. Additional costs sustained in making up for a faulty or uneven flooring will be to the purchaser's account. 19. Any times priced quote for our completion or delivery work from the date of invoice by us of a written order to continue, together with all information and details we need to continue with the manufacture without disturbance or delay. All such times are to be dealt with as quotes only and we shall not be accountable for failure to dispatch, install, or otherwise carry out within such times unless otherwise agreed in writing.
21. The Buyer will pay the Seller instantly. If the Purchaser stops working to make a payment by the due date, the Seller may, without notice, withhold shipment of any additional Product to the Buyer and might end, without liability to the Buyer, any or all subsisting agreements between the Seller and the Buyer.
If payment is not made on the due date, the Seller may charge interest on the amount payable at the rate of 5% over the 90 day bank expense rate relevant on the day the payment is due. 23. The Purchase Cost is not inclusive of goods and services tax, unless otherwise defined in composing.
